Terms & Conditions

These Terms of Service (“Terms”) govern your access to and use of the Axxel platform, including any Telegram bot, web interface, APIs, and related software (collectively, the “Platform”).

The Platform is operated by Axxel Tech Ltd., a company incorporated in the British Virgin Islands (“Axxel”, “we”, “us”, or “our”).

By accessing or using the Platform, you agree to be bound by these Terms.

1. Nature of the Platform

Axxel provides a non-custodial software interface that enables users to interact directly with third-party blockchain networks, decentralized protocols, and smart contracts.

Axxel:

• Does not operate a cryptocurrency exchange
• Does not act as a broker, dealer, intermediary, or agent
• Does not provide money transmission services
• Does not custody, safeguard, or control user funds
• Does not provide financial, investment, tax, or legal advice
• All blockchain transactions are executed by users through their own digital wallets.

2. Non-Custodial Structure

You retain full control over:

• Your private keys
• Your seed phrases
• Your wallet credentials
• Your digital assets

Axxel does not:

• Store private keys
• Access wallet seed phrases
• Hold digital assets on your behalf

If you authorize automated interactions through wallet permissions, smart contracts, APIs, or delegated signing mechanisms, you do so directly through your wallet or third-party infrastructure providers.

Axxel does not take custody at any time.

3. Third-Party Infrastructure and Turnkey Integration

The Platform may integrate with or rely upon third-party infrastructure providers, including wallet infrastructure, signing services, blockchain nodes, APIs, decentralized exchanges, and other smart contract protocols.

This may include integration with third-party providers such as Turnkey or similar infrastructure providers.

You acknowledge and agree:

• Axxel does not own or control third-party infrastructure.
• Transactions occur on third-party blockchain networks.
• Axxel is not responsible for outages, exploits, protocol failures, or vulnerabilities affecting third-party systems.
• Your use of third-party services may be subject to separate terms and conditions.

Axxel disclaims all liability arising from your interaction with third-party systems.

4. No Brokerage or Agency Relationship

Axxel does not:

• Match buyers and sellers
• Maintain an order book
• Act as counterparty to trades
• Route or broker transactions
• Execute trades as principal

You initiate and authorize all transactions directly through your wallet.

The Platform functions solely as a technical interface.

No fiduciary or agency relationship is created between you and Axxel.

5. Use of Functionality and Automated Features

The Platform may allow you to configure automated parameters (including limit conditions, triggers, or predefined instructions).

You acknowledge:

• All automated actions are based solely on parameters you configure.
• You remain fully responsible for all transactions.
• Blockchain transactions are irreversible.
• Automation does not guarantee execution, profitability, or performance.

Axxel does not manage your assets or exercise discretionary authority over your funds.

6. Fees

Axxel may charge software usage fees.

Fees relate solely to access to the Platform’s software functionality.

Axxel does not:

• Receive custody of transaction proceeds
• Act as counterparty in any transaction

You may incur additional fees from third-party protocols, blockchain gas fees, or infrastructure providers. Axxel has no control over such fees.

7. Risk Disclosure

Digital asset transactions involve substantial risk, including:

• Market volatility
• Smart contract vulnerabilities
• Blockchain network failures
• Protocol exploits
• Liquidity risks
• Regulatory changes

You accept full responsibility for all trading decisions and outcomes.

You understand that you may lose all digital assets involved in transactions.

8. Regulatory Status

Axxel is a software provider.

The Platform is a technical interface to decentralized blockchain protocols.

Axxel does not provide regulated financial services in any jurisdiction.

You are solely responsible for ensuring your use of the Platform complies with applicable laws in your jurisdiction.

9. Restricted Use

You represent that:

• You are not subject to economic sanctions.
• You are not located in a jurisdiction where digital asset transactions are prohibited.
• Your use of the Platform does not violate applicable laws.

Axxel reserves the right to restrict access to certain jurisdictions at its sole discretion.

10. No Financial Advice

Nothing on the Platform constitutes:

• Investment advice
• Trading advice
• Financial planning
• Portfolio management

You make independent decisions.

11. Limitation of Liability

To the maximum extent permitted under applicable law, Axxel shall not be liable for:

• Loss of digital assets
• Smart contract failures
• Third-party infrastructure outages
• Market losses
• Automation errors
• Blockchain congestion

The Platform is provided on an “as is” and “as available” basis.

12. Indemnification

You agree to indemnify and hold harmless Axxel from any claims, liabilities, damages, losses, or expenses arising from:

• Your use of the Platform
• Your violation of these Terms
• Your breach of applicable law

13. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of the British Virgin Islands.

Any dispute arising out of or in connection with these Terms shall be resolved through binding arbitration seated in the British Virgin Islands.

14. Amendments

Axxel may update these Terms at any time. Continued use of the Platform constitutes acceptance of revised Terms.
